1. ACCEPTANCE OF TERMS
Welcome to The Record Station ("Company," "we," "us," or "our"). By accessing or using our website (therecordstation.com), our dashboard (hub.therecordstation.com), and any related services, including music distribution, TRC Vault, and Smart Links (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our Services.
2. DESCRIPTION OF SERVICE
The Record Station provides a Business-to-Business (B2B) Software-as-a-Service (SaaS) platform that enables independent artists and record labels to manage digital assets, access marketing tools, and distribute audio recordings and related metadata ("Content") to Digital Service Providers (DSPs) such as Spotify, Apple Music, YouTube, and others.
3. GRANT OF RIGHTS (NON-EXCLUSIVE LICENSE)
By uploading Content to our platform, you grant The Record Station a non-exclusive, sub-licensable, worldwide license to distribute, reproduce, publicly perform, monetize, and display your Content across selected DSPs and social media platforms. You retain 100% ownership of your copyrights. We do not claim any ownership rights over your masters, lyrics, or compositions.
4. USER REPRESENTATIONS AND WARRANTIES
This is a strict requirement. By uploading Content, you legally represent and warrant that:
You own or control 100% of the rights to the audio, cover art, and metadata provided.
Your Content does not infringe on any third-party copyrights, trademarks, or intellectual property rights.
You have obtained all necessary licenses for any samples, beats, or interpolations used in your recordings.
Content ID Restriction: You will not submit non-exclusive beats, royalty-free loops, or public domain audio to our YouTube Content ID service.
5. ARTIFICIAL STREAMING AND FRAUD (STRICT ZERO-TOLERANCE POLICY)
The Record Station strictly prohibits any form of streaming manipulation, botting, or buying plays. You agree not to use automated processes, click-farms, or third-party promotion services that guarantee placements or streams. If we, or our DSP partners, detect artificial streaming or fraudulent activity on your account:
We reserve the right to immediately terminate your account without notice.
We reserve the right to withhold, freeze, or confiscate any pending royalties to cover penalties, legal fees, or refunds demanded by DSPs.
We may issue an immediate takedown of your entire catalog from all stores.
6. SUBSCRIPTIONS, FEES, AND DOWNGRADE POLICY
We offer both Free and Paid (Pro) subscription plans.
Pro Plans: Provide enhanced features, faster distribution, and up to a 100% royalty payout structure.
Downgrade Policy (No Takedowns): Unlike other platforms, if your Pro subscription expires or payment fails, we will not delete your Content from the DSPs. Instead, your account will automatically be downgraded to our Free Plan, and your royalty split will be adjusted to the Free Plan rate (80% to you, 20% to us), ensuring your music remains online seamlessly.
7. ROYALTIES AND PAYOUTS
We will collect royalties on your behalf from DSPs. You can track your earnings via our Dashboard. Payouts are subject to DSP reporting timelines (usually 60-90 days after the end of the month in which streams occurred). We reserve the right to hold funds if we suspect copyright infringement, fraud, or if required by law, until an internal investigation is concluded.
8. TRC VAULT & DATA STORAGE DISCLAIMER
The TRC Vault provides cloud storage for your digital assets. While we implement industry-standard security measures, The Record Station is not a guaranteed backup service. We are not liable for any loss, corruption, or deletion of files, masters, or artwork stored in the Vault. You are solely responsible for keeping independent backups of all your Content.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless The Record Station, its officers, directors, employees, and partners from any claims, damages, liabilities, costs, or debt (including attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) any claim that your Content violates the intellectual property rights of a third party.
10. TERMINATION
You may cancel your account at any time. We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice or liability, for any breach of these Terms, particularly regarding copyright infringement or artificial streaming.
11. DMCA & COPYRIGHT INFRINGEMENT POLICY
The Record Station respects the intellectual property rights of others and strictly complies with the Digital Millennium Copyright Act (DMCA). As a B2B distribution platform, we act as a "Safe Harbor."
Takedown Notices: If you believe your copyrighted work has been uploaded or distributed through our Services without authorization, please send a formal DMCA takedown notice to: copyright@therecordstation.com. Your notice must include: a physical or electronic signature, identification of the infringed work, the specific URLs/ISRCs on our platform, your contact information, and a statement of good faith.
Repeat Infringer Policy: We have a strict zero-tolerance policy. If a user is determined to be a "repeat infringer" (submitting unauthorized or stolen music more than once), we will permanently terminate their account, issue a global takedown of their catalog, and freeze their funds without any right to a refund.
12. CHANGES TO TERMS
We reserve the right to modify or replace these Terms at any time. We will notify you of any material changes via email or an alert on the Dashboard. Continued use of the Services after such modifications constitutes your acceptance of the new Terms.
